The terms that govern time-limited evaluation access to the FlashPath platform.

These Terms of Use ("Terms") govern your access to and use of the FlashPath platform and any data, content, and outputs made available through it (together, the "Platform"), provided to you as a time-limited evaluation by FlashPath Inc., a Delaware corporation ("FlashPath," "we," "us," or "our").
By clicking "I Agree," entering the Platform, or otherwise accessing it, you ("you" or "Evaluator") agree to these Terms on your own behalf and on behalf of any organization you represent. If you do not agree, do not access the Platform.
Subject to these Terms, FlashPath grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access the Platform solely to internally evaluate its features and capabilities (the "Purpose") during the Evaluation Period. The "Evaluation Period" begins when your access is activated and ends on the access expiry date applicable to your account, or earlier upon revocation. Where no expiry date applies to your account, access continues until revoked under Section 8 or these Terms are terminated. Your current expiry date, if any, is shown to you when you accept these Terms. This is not a sale, and no license to the Platform or the Data is granted beyond the limited access expressly stated here.
"Data" means all data, datasets, records, database structures, compilations, analyses, model outputs, visualizations, text, and other content made available through the Platform. "Access Credentials" means any link, token, username, password, or other means provided to you to access the Platform.
You may access and view the Platform through its standard user interface, for the Purpose only, and only during the Evaluation Period.
You will not, and will not permit or enable any person, software, agent, or automated system to:
The Platform, the Data, and any non-public information you access are the confidential and proprietary information and trade secrets of FlashPath ("Confidential Information"). Confidential Information does not include material published by a government or regulatory authority (for example FDA review documents, EMA public assessment reports, and adverse-event records released by an agency) where that material is served in the form the authority published it; FlashPath's selection, compilation, arrangement, normalization, linkage, and derived analysis of that material remain Confidential Information, as does everything else made available through the Platform. You will keep Confidential Information strictly confidential, use it only for the Purpose, and not disclose it to any third party. This obligation survives the Evaluation Period.
As between the parties, FlashPath and its licensors own all right, title, and interest in and to the Platform and the Data, including all intellectual property rights and all compilations, arrangements, and derived analyses. No rights are granted except the limited access expressly set out in Section 1. The Data includes valuable proprietary and trade-secret information developed at substantial expense.
The Platform and Data are provided for evaluation and demonstration purposes only. They may be incomplete, illustrative, sampled, or otherwise not representative of the full platform, and must not be used for any clinical, medical, regulatory, safety, diagnostic, investment, or other decision. You will not rely on the Platform or Data for any purpose, and FlashPath is not responsible for any action taken based on them.
You acknowledge and agree that FlashPath may monitor, log, and analyze your use of the Platform — including to detect automated access and to enforce these Terms. FlashPath may suspend, restrict, or revoke your access at any time, with or without notice, for any reason, including suspected automated access or breach of these Terms.
THE PLATFORM AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHPATH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE PLATFORM. FLASHPATH'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED USD $100.
To provide and secure your access, we collect your name, email address, organization, and usage information. We use this to administer and protect your evaluation access and to contact you about FlashPath. Our handling of personal information is described in our Privacy Policy.
These Terms apply from your acceptance until the end of the Evaluation Period or earlier termination. Sections 4 through 11, and Section 13, survive expiration or termination of these Terms. On expiration or termination you will stop all access and destroy any Confidential Information in your possession or control.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware. These Terms are the entire agreement about your evaluation access and supersede any prior discussions. If any provision is held unenforceable, the remaining provisions stay in effect. FlashPath's failure to enforce a provision is not a waiver of it. You may not assign these Terms; FlashPath may. FlashPath may update these Terms; an updated version takes effect for you when you accept it, and you will be asked to do so before continuing to access the Platform.
